1. Agreement and Acceptance
These Terms and Conditions constitute a legally binding agreement between FINORA GLOBAL, Inc., ("FINORA GLOBAL," "the Company") and the user ("Customer," "you"). By accessing or using the Company’s services, you acknowledge that you have read, understood, and agreed to be bound by these Terms, the Privacy Policy, and all applicable Company policies.
2. Eligibility and Account Approval
Services are available only to individuals or entities that:
- Have legal capacity to enter into binding agreements;
- Successfully complete applicable KYC/KYB and compliance checks;
- Are not prohibited or restricted under applicable laws or regulations.
The Company reserves the right to approve, refuse, suspend, or terminate accounts in accordance with regulatory requirements and internal policies.
3. Customer Obligations
Customers shall:
- Provide accurate, complete, and up-to-date information;
- Maintain the confidentiality and security of account credentials;
- Immediately notify the Company of any suspected unauthorized access or security breach;
- Use the services in compliance with applicable laws and regulations.
4. Use of Services and Prohibited Activities
Customers shall not engage in unlawful, fraudulent, abusive, or prohibited activities, including but not limited to money laundering, terrorist financing, sanctions evasion, market manipulation, or misuse of the platform.
5. Digital Asset Risks and Disclaimers
Customers acknowledge that digital asset transactions involve significant risks, including price volatility, technological failures, regulatory changes, and potential loss of assets. The Company does not provide investment advice and does not guarantee asset value or performance.
6. Fees and Charges
Fees applicable to the Company’s services shall be disclosed through official channels and may be amended from time to time. Continued use of services constitutes acceptance of revised fees.
7. Suspension, Restriction, and Termination
The Company may suspend, restrict, or terminate services without prior notice where required by law, regulatory directive, or where the Company reasonably determines that a Customer has breached these Terms or applicable policies.
8. Monitoring, Reporting, and Disclosure
The Company may monitor transactions and disclose information to competent authorities as required under AML/CTPF, data privacy, and other applicable laws.
9. Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for indirect, incidental, consequential, or market-related losses arising from the use of its services, except where liability cannot be excluded under applicable law.
10. Intellectual Property
All intellectual property rights in the Company’s platform, systems, and materials remain the exclusive property of the Company or its licensors.
11. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any dispute shall be submitted to the exclusive jurisdiction of the appropriate Philippine courts, unless otherwise required by law.
12. Amendments
The Company may amend these Terms at any time. Continued use of the services constitutes acceptance of the amended Terms.
